By creating a Customer account on OriginSpace, you agree to be bound by these Terms. These are OriginSpace operating rules — all Customers must comply.
"Platform" means the OriginSpace marketplace operated by HomeAuto Solutions Pte. Ltd. (UEN: [to be inserted]), a company incorporated in Singapore, accessible at originspace.homeauto.sg.
"Customer" means any individual aged 18 years or above, or any entity, that creates an account on the Platform to browse, commission, or purchase interior design services, building materials, furniture, or related renovation services.
"Designer" means a China-based interior designer or design studio registered as a Supplier on the Platform who provides design consultation, concept drawings, material specifications, and related deliverables.
"Supplier" means any China-based manufacturer, trader, or distributor registered on the Platform who provides building materials, furniture, or related products. The term "Supplier" includes Designers unless the context requires otherwise.
"Contractor" means a Singapore-based renovation contractor registered on the Platform who provides site measurement, project coordination, and installation services.
"Order" means a confirmed engagement between a Customer and one or more Suppliers or Contractors, governed by these Terms and any accepted proposal.
"Escrow Funds" means SGD amounts paid by the Customer and held by the Platform in a segregated account pending milestone completion and Customer confirmation.
"Logify" means OriginSpace's designated freight partner responsible for sea freight logistics from China to Singapore.
2.1 To use the Platform, you must create an account by providing accurate, current, and complete information, including your full legal name, a valid Singapore email address, and a contact number. You must promptly update your account details if any information changes.
2.2 Email verification is required to activate your account. You must verify your email address before submitting a project brief, accepting a proposal, or making any payment on the Platform.
2.3 You may only hold one Customer account on the Platform. Each account must correspond to a single individual or entity. You may not register on behalf of another person without their express authority. You must be at least 18 years of age to create an account.
2.4 You are solely responsible for maintaining the confidentiality of your password and all activities occurring under your account. You must notify the Platform immediately at [email protected] if you suspect any unauthorised access to your account.
2.5 The Platform may suspend or permanently close your account for breach of these Terms, provision of false registration information, suspected fraudulent activity, or conduct that is harmful to the Platform, its partners, or other users.
3.1 OriginSpace is a cross-border interior design and renovation marketplace. Customers engage China-based Designers for interior design services, including space planning, material selection, 3D visualisations, and complete renovation packages. Customers also engage Singapore-based Contractors for on-site services including pre-renovation measurement and post-delivery installation.
3.2 Upon accepting a Designer's proposal, the Designer will recommend specific materials and furniture sourced from vetted China manufacturers and suppliers. Customers may accept the Designer's recommended suppliers or browse the Platform's materials and furniture catalogues to make their own selections.
3.3 Customer payments are collected in Singapore Dollars (SGD) via Stripe and held in escrow by the Platform. Funds are released to Designers, Suppliers, and Contractors only upon Customer confirmation of milestone completion. This escrow mechanism protects Customers from non-delivery and protects partners from non-payment.
3.4 All materials and furniture ordered from China are shipped exclusively via Logify, OriginSpace's designated sea freight partner. Logify manages all aspects of the China-to-Singapore freight journey, including export documentation, sea freight booking, customs clearance, and last-mile delivery to the Customer's Singapore property.
3.5 The Platform is a marketplace intermediary. Contracts for design services, supply of goods, and installation work are formed directly between the Customer and the respective Supplier or Contractor. The Platform facilitates these transactions but is not itself a party to any such contract.
4.1 The Platform does not charge any fees to the Customer. You pay only the agreed project value quoted by Designers, Suppliers, and Contractors. Escrow protection, payment processing, and customer support are provided at no additional cost to you.
4.2 Payment milestones for Design Services: (a) 50% downpayment is due upon your acceptance of a Designer's proposal; (b) 50% final payment is due upon Designer delivery of all agreed design deliverables and your confirmation of acceptance.
4.3 Payment milestones for Materials & Furniture: (a) 30% downpayment is due upon order confirmation; (b) 70% balance payment is due before the goods are shipped from the OriginSpace-appointed China warehouse. You will be notified via email and the Platform dashboard before the balance payment is triggered.
4.4 Payment milestones for Contractor Services: (a) 30% downpayment is due upon engaging the Contractor; (b) 40% progress payment is due at the midpoint of installation works, as determined by the Contractor's progress report and your acknowledgement; (c) 30% final payment is due upon completion of all installation works and your sign-off.
4.5 All payments are processed in SGD via Stripe. Your payment card details are encrypted and processed directly by Stripe and are never stored on the Platform's servers. You are responsible for any currency conversion charges imposed by your bank or card issuer.
4.6 Escrow protection: all funds received by the Platform are held in a segregated client account and will not be released to any partner until you confirm milestone completion or the auto-confirmation period has lapsed (see Section 6.2). The Platform does not earn interest on escrow funds.
4.7 Non-refundable platform fee in dispute and cancellation outcomes: OriginSpace does not charge service fees on normal Order completion — you pay only the quoted project value. However, in the event that a dispute is raised or an Order is cancelled after funds have entered escrow, a non-refundable platform administration fee of seven percent (7%) of the total Order value is retained by the Platform from escrow funds. This fee covers dispute management, escrow administration, and platform operational costs. Any refund payable to you will therefore be calculated on the net Order value after deduction of this 7% fee. Example: on a S$10,000 Order, the maximum refund payable to you following a dispute is S$9,300. You agree to these terms by creating an account and placing any Order on the Platform.
5.1 Before work begins: if you cancel an Order after payment but before the Designer, Supplier, or Contractor has commenced any work or incurred any costs, you are entitled to a refund of ninety-three percent (93%) of all milestone payments made. The remaining 7% is retained by the Platform as the non-refundable platform administration fee described in Section 4.7. The Platform will process the refund within 10 business days, net of Stripe processing fees (currently approximately 3.4% + SGD 0.50 per transaction).
5.2 After Designer commences work: if you cancel a Design Services Order after the Designer has begun work, you are entitled to a refund proportional to the undelivered portion of agreed deliverables. The Platform will assess the stage of completion in good faith and determine the refundable amount.
5.3 After materials are ordered from factory: once a Supplier has confirmed your order and commenced production or procurement of custom or semi-custom items, no refund is available for the materials component. This is because factory production is initiated upon order confirmation and cannot be reversed without incurring full manufacturing costs. Standard catalogue items may be eligible for partial refund at the Platform's discretion, subject to restocking charges.
5.4 After shipment from China: once goods have been dispatched from the China warehouse and are in transit via Logify, no refund is available for the materials or freight component. You may still raise a quality dispute under Section 6 upon delivery.
5.5 Contractor cancellation: if you cancel Contractor Services before installation commences, you are entitled to a refund of the unearned milestone payments. If you cancel after installation has begun, the Platform will assess the proportion of completed works and determine the refundable amount accordingly.
5.6 All refund disputes are mediated by the Platform. You must raise a refund request via the Refund Request Form within 7 days of the triggering event. The Platform's determination on refund amounts is final, subject to the dispute resolution process in Section 9.
6.1 Upon receipt of goods at your Singapore delivery address, you must inspect the goods promptly and thoroughly. You must check that the goods match the specifications in your Order, are free from visible damage, and are complete in quantity.
6.2 You must confirm delivery and acceptance via the Platform dashboard within seven (7) calendar days of the delivery date. If you do not raise a dispute or take any action within this 7-day period, the delivery will be automatically confirmed and the relevant Escrow Funds will be released to the Supplier. This auto-confirmation policy is necessary to ensure timely settlement to our partners.
6.3 If you discover any defect, damage, or non-conformity upon inspection, you must raise a formal dispute via the Platform dashboard within seven (7) calendar days of delivery. Your dispute submission must include: (a) a written description of the defect or non-conformity; (b) photographic evidence clearly showing the issue; and (c) the relevant Order reference number. Disputes raised after the 7-day window will not be entertained.
6.4 The Platform is not liable for delays in delivery caused by Singapore Customs inspection, port congestion, adverse weather affecting sea freight, or other circumstances beyond the Platform's reasonable control. Estimated delivery timelines provided on the Platform are indicative only.
6.5 You are responsible for ensuring that the delivery address provided is accurate and accessible. The Platform is not liable for failed deliveries or additional charges arising from an incorrect address or inaccessible premises.
7.1 You must provide accurate and complete property details when submitting a project brief, including floor area, unit type, existing layout, and any specific requirements or constraints. Inaccurate property information may result in design errors or installation issues for which the Platform and its partners bear no liability.
7.2 You must grant the Contractor timely access to your property for site measurement prior to order finalisation and for installation works after delivery. You must ensure that the property is ready and that all necessary permissions (including HDB/condominium management approval where applicable) are obtained before installation commences. Any delay caused by your failure to provide access will not entitle you to a refund or extension.
7.3 You must respond to communications from Designers, Contractors, and the Platform within 48 hours during business days. Unreasonable delays in your responses that cause project delays will not entitle you to a refund or extension.
7.4 You must not contact Designers, Suppliers, or Contractors outside the Platform for the purpose of arranging transactions, payments, or services related to your OriginSpace project. Any attempt to circumvent the Platform's payment system constitutes a material breach of these Terms and may result in immediate account suspension.
7.5 You must not abuse the Platform's dispute system by submitting frivolous, fraudulent, or vexatious complaints. The Platform reserves the right to dismiss disputes that are unsupported by evidence and to suspend accounts found to have repeatedly abused the dispute process.
8.1 The Platform collects and processes Customer personal data in accordance with Singapore's Personal Data Protection Act 2012 (PDPA). By creating an account and using the Platform, you consent to the collection, use, and disclosure of your personal data as described in these Terms and the Platform's Privacy Policy.
8.2 Your contact details, delivery address, and project requirements will be shared with the relevant Designer, Supplier, and Contractor only after an Order is confirmed. Prior to Order confirmation, only anonymised project brief information (property type, budget range, location district) is visible to potential partners.
8.3 The Platform shares data with third-party service providers as necessary to deliver its services, including: Stripe (payment processing), Logify (freight and customs documentation), Resend (transactional emails), and Neon (database hosting). All such providers are contractually bound to process your data solely for the purposes described.
8.4 The Platform will not sell your personal data to any third party for marketing or other purposes. The Platform may disclose your data to regulatory authorities (including the Monetary Authority of Singapore, Singapore Customs, and PDPC) where required by applicable law.
8.5 You may request access to, correction of, or deletion of your personal data by contacting [email protected]. Account deletion requests will be processed within 30 days, subject to the Platform's legal obligation to retain records for audit and dispute resolution purposes.
9.1 The Platform operates as a marketplace intermediary and is not a party to any contract between a Customer and a Supplier or Contractor. The Platform does not warrant, represent, or endorse the quality, safety, legality, workmanship, or fitness for purpose of any design services, materials, furniture, or installation work offered or performed by any Supplier or Contractor on the Platform.
9.2 The Platform is not liable to you for any defects in materials or furniture supplied by a Supplier, any errors or omissions in design deliverables prepared by a Designer, any defective workmanship or damage caused by a Contractor during installation, or any loss or damage to goods during sea freight transit once goods have been accepted at the China warehouse by Logify.
9.3 The aggregate liability of the Platform to you for any claim arising out of or in connection with your use of the Platform shall not exceed the lower of: (a) the total Platform service fees paid by you in the 12 months preceding the claim; or (b) SGD 5,000. This limitation applies regardless of the form of action and whether the claim arises in contract, tort, or otherwise.
9.4 Neither party shall be liable for any failure or delay in performance resulting from circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, acts of government or regulatory authority, port closures, shipping strikes, cyberattacks on payment infrastructure, or Platform outages exceeding 72 hours. The affected party must notify the other party as soon as practicable.
9.5 Nothing in these Terms limits or excludes any liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10.1 These Terms are governed by, and shall be construed in accordance with, the laws of Singapore. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
10.2 Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules for the time being in force. The seat of arbitration shall be Singapore. The language of arbitration shall be English.
10.3 Notwithstanding clause 10.2, the Platform may seek emergency interim relief or injunctive relief from any court of competent jurisdiction in Singapore where necessary to prevent irreparable harm or to preserve its rights.
10.4 These Terms, together with the Privacy Policy and any other policies or guidelines published on the Platform, constitute the entire agreement between you and the Platform with respect to your use of the Platform and supersede all prior written or oral understandings, representations, or agreements relating to the same subject matter.
